1. About Hello Diginista

Hello Diginista is a digital engineering and consulting agency providing services including, but not limited to:

• Website Design & Development
• eCommerce Development
• SaaS Product Development
• Mobile Application Development
• Branding & Creative Services
• UX/UI Design
• Copywriting
• AI Chatbots
• AI Automation
• AI Consulting & Training
• CRM & Marketing Automation
• Website Maintenance & Support
• Digital Strategy & Technical Consulting

2. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding agreement to use our website or purchase our services. If you are acting on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

3. Services

All project scopes, pricing, timelines, deliverables, and payment schedules are defined in a separate proposal, Statement of Work (SOW), Master Services Agreement (MSA), or service contract. If a conflict exists between these Terms and a signed agreement, the signed agreement will govern.

4. Quotes & Estimates

Any estimates, timelines, or pricing provided before a signed agreement are non-binding and subject to change based on project scope, technical requirements, or client-requested revisions.

5. Client Responsibilities

Clients agree to:

• Provide accurate project information.
• Supply required content, assets, and approvals in a timely manner.
• Review deliverables promptly.
• Designate a primary project contact.
• Obtain rights to all content provided to Hello Diginista.

Project delays caused by missing information or approvals may affect delivery schedules.

6. Payments

Unless otherwise agreed in writing:

• Invoices are due according to the payment schedule in your agreement.
• Late payments may result in paused work until the account is brought

current.

• Hello Diginista reserves the right to charge reasonable late fees where

permitted by law.

• All fees are non-refundable once work has commenced unless otherwise

stated in writing.

7. Change Requests

Any work requested outside the approved project scope may require:

• A written Change Order
• Updated pricing
• Revised delivery timelines

No additional work will begin until both parties approve the scope changes.

8. Intellectual Property

Unless otherwise agreed in writing:

• Clients retain ownership of content, trademarks, and materials they provide.
• Hello Diginista retains ownership of its proprietary methodologies,

templates, frameworks, reusable code, automation workflows, internal tools, and intellectual property.

• Upon full payment, clients receive ownership or licensed rights to the

agreed-upon project deliverables as specified in the project agreement.

9. AI Services

Hello Diginista offers AI-powered products, automation, training, consulting, and chatbot solutions. Clients acknowledge that:

• AI-generated content should be reviewed before publication or

implementation.

• AI outputs may contain inaccuracies or require human validation.
• Final business decisions remain the responsibility of the client.

We do not guarantee that AI-generated outputs will always be accurate, complete, or error-free.

10. Website Hosting & Third-Party Services

Projects may rely on third-party providers, including:

• Hosting platforms
• Cloud providers
• CRM systems
• Payment processors
• AI platforms
• Analytics services
• Marketing software

Hello Diginista is not responsible for outages, service interruptions, pricing changes, or policy changes made by third-party providers.

11. Maintenance & Support

Website maintenance or support services are provided only under an active maintenance agreement or support contract. Requests outside the maintenance scope may require additional billing.

12. Confidentiality

Both parties agree to maintain the confidentiality of proprietary, confidential, or sensitive business information shared during the course of a project unless disclosure is required by law.

13. Acceptable Use

You agree not to use our website or services to:

• Violate any law or regulation.
• Distribute malicious software.
• Attempt unauthorized access to systems.
• Infringe on intellectual property rights.
• Engage in fraudulent, abusive, or harmful activities.

We reserve the right to terminate access for violations of these Terms.

14. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Hello Diginista disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law, Hello Diginista shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, loss of data, or loss of business opportunities arising from the use of our website or services. Our total liability for any claim shall not exceed the amount paid by the client for the specific services giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless Hello Diginista, its employees, contractors, affiliates, and partners from any claims, damages, liabilities, costs, or expenses arising from:

• Your misuse of our services.
• Your violation of these Terms.
• Materials or content you provide.
• Your violation of third-party rights.

17. Termination

Either party may terminate a project according to the terms outlined in the applicable project agreement. Upon termination:

• Clients are responsible for payment of work completed through the

termination date.

• Completed deliverables will be provided upon receipt of outstanding

balances.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California, unless otherwise agreed in writing.

19. Force Majeure

Hello Diginista shall not be liable for delays or failure to perform caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet outages, cyberattacks, or failures of third-party providers.

20. Changes to These Terms

We reserve the right to update these Terms at any time. Updated Terms become effective immediately upon posting to our website unless otherwise stated. Continued use of our website or services constitutes acceptance of the revised Terms.
